Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Katanx platform, including The Stream, Studio, The Wire, and our mobile applications (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Operational Posture

Katanx is a high-fidelity repository and operational system for performance and visual arts. The Platform is provided "as is" and "as available." We make no guarantees regarding the continuous uptime of all services, though we strive for maximum telemetry and reliability.

3. User Accounts and Telemetry

You must register for an account to engage with primary platform surfaces. You are responsible for safeguarding your authentication credentials. Katanx employs robust telemetry and logging to ensure platform integrity; by using the service, you consent to this monitoring as outlined in our Privacy Policy.

4. Content and Intellectual Property

4.1 User-Generated Signaling

You retain all rights to the media, long-form content, and somatic data you upload or stream via Katanx ("Your Content"). By uploading Your Content, you grant Katanx a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods now known or later developed, strictly for the purpose of operating and improving the Platform.

4.2 Platform Engineering

All rights, title, and interest in and to the Platform (excluding User-Generated Content) are and will remain the exclusive property of Katanx Inc. and its licensors.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Reverse engineering, decompiling, or disassembling the Platform.
• Deploying automated extraction algorithms (scraping) without express API authorization.
• Uploading malicious code or engaging in activity that compromises platform security or user safety.
• Uploading content that violates the intellectual property or somatic data rights of others.

6. Instructor and Studio Economics

Instructors utilizing the Studio platform to distribute paid media or subscriptions are subject to the Katanx Commerce Agreement. Payout schedules, processing fees, and refund policies are defined within the Commerce Agreement and supersede any conflicting provisions within these general Terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KATANX INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
